These Terms & Conditions (“Terms”) govern the access and use of the Groocy platform, including the website www.groocy.in, mobile applications, WhatsApp ordering services, customer support channels, and related services operated by Groocy Retails (OPC) Private Limited (“GROPL”), a company incorporated under the Companies Act, 2013.

For the purpose of these Terms:

  1. “Groocy”, “Company”, “we”, “our”, and “us” refer to Groocy Retails (OPC) Private Limited (“GROPL”);
  2. “User”, “you”, and “your” refer to any person accessing or using the Platform or services.

By accessing, browsing, registering, or placing orders through the Platform, you agree to be legally bound by these Terms, the Privacy Policy, Refund & Cancellation Policy, Shipping Policy, and other policies published on the Platform.

If you do not agree with these Terms, please do not use the Platform or services.

1. Eligibility

Services of the Platform are available only in select serviceable locations in India.

Users must be legally capable of entering into a binding contract under applicable laws.

Users below 18 years of age may use the Platform only under parental or guardian supervision.

Groocy reserves the right to refuse access, suspend accounts, or cancel services at its discretion.

2. Services

Groocy primarily provides:

  1. fresh chicken,
  2. fish,
  3. mutton,
  4. prawns,
  5. eggs,
  6. vegetables,
  7. groceries,
  8. dairy products,
  9. packaged foods,
  10. and household essentials

through doorstep delivery services.

Service availability may vary depending on:

  1. operational limitations,
  2. delivery area,
  3. stock availability,
  4. weather conditions,
  5. government restrictions,
  6. technical issues,
  7. and other circumstances beyond reasonable control.

3. License & Platform Access

Groocy grants users a limited, non-transferable, revocable, and non-commercial permission to access and use the Platform for personal purposes only.

Users shall not:

  1. reproduce,
  2. duplicate,
  3. copy,
  4. sell,
  5. resell,
  6. scrape,
  7. commercially exploit,
  8. modify,
  9. distribute,
  10. or misuse

any part of the Platform, its content, trademarks, product information, pricing, images, layouts, software, or services without prior written consent from GROPL.

Users shall not use:

  1. data mining tools,
  2. robots,
  3. automated extraction tools,
  4. framing techniques,
  5. meta tags,
  6. hidden text,
  7. or similar technologies

to access or misuse the Platform or its proprietary information.

Any unauthorized use of the Platform automatically terminates the permission or license granted by GROPL and may result in legal action, suspension, or termination of access.

4. Account & Registration Obligations

Users may be required to register and create an account for placing orders or accessing certain services on the Platform.

Users are responsible for:

  1. maintaining confidentiality of account credentials,
  2. protecting OTPs and passwords,
  3. providing accurate and updated information,
  4. ensuring account details remain current,
  5. all activities conducted through their account.

By registering on the Platform, users agree to receive:

  1. transactional communication,
  2. order updates,
  3. service notifications,
  4. newsletters,
  5. promotional communication,
  6. offers and marketing messages

through SMS, calls, WhatsApp, email, push notifications, or other communication channels.

Users may opt out of promotional communication through account settings or by contacting customer support. However, transactional and service-related communication may still continue where necessary.

5. Product Information & Availability

Groocy attempts to provide accurate product descriptions, pricing, weights, images, and availability details.

However:

  1. product images may be representative only,
  2. actual packaging may vary,
  3. product sizes and weights may slightly vary,
  4. stock availability may change without notice,
  5. pricing errors may occasionally occur.

Groocy reserves the right to:

  1. modify prices,
  2. limit quantities,
  3. discontinue products,
  4. cancel orders,
  5. refuse orders,
  6. or correct pricing inaccuracies

without prior notice.

No product shall be sold above its applicable Maximum Retail Price (MRP), where applicable.

6. Fresh Non-Veg Products & Customized Cuts

Fresh non-veg products are perishable items and may involve:

  1. customized cuts,
  2. cleaning preferences,
  3. trimming,
  4. marination,
  5. weight adjustments,
  6. natural variations in size, texture, color, fat content, and bone structure.

Users acknowledge and agree that:

  1. minor weight variations may occur,
  2. natural product variations are normal,
  3. customized products may not exactly match reference images,
  4. freshness perception may vary between individuals.

Once fresh products are:

  1. cleaned,
  2. cut,
  3. processed,
  4. packed,
  5. or dispatched,

cancellation, replacement, or return eligibility may become restricted subject to applicable policies.

Customers are advised to refrigerate or properly store fresh products immediately after delivery.

7. Orders & Acceptance

Placing an order on the Platform constitutes an offer to purchase products.

Groocy reserves the right to:

  1. accept or reject orders,
  2. cancel suspicious transactions,
  3. refuse bulk or fraudulent orders,
  4. limit order quantities,
  5. request additional verification,
  6. or deny service at its sole discretion.

Order confirmation does not guarantee delivery until operational processing and verification are completed.

8. Pricing & Payments

All prices displayed on the Platform are subject to change without prior notice.

Applicable:

  1. delivery charges,
  2. handling fees,
  3. surge charges,
  4. packaging charges,
  5. platform fees,
  6. taxes

may be added during checkout.

Payments may be made through:

  1. UPI,
  2. debit cards,
  3. credit cards,
  4. wallets,
  5. net banking,
  6. cash on delivery (where available),
  7. or other approved payment methods.

Groocy reserves the right to suspend or restrict COD services for:

  1. repeated cancellations,
  2. refused deliveries,
  3. fake orders,
  4. suspicious activity,
  5. refund abuse,
  6. or operational risks.

9. Delivery Services

Delivery timelines displayed on the Platform are estimates only and may vary depending on:

  1. weather conditions,
  2. traffic,
  3. operational delays,
  4. festivals,
  5. high demand,
  6. rider availability,
  7. technical issues,
  8. restricted access locations.

Users are responsible for:

  1. providing accurate delivery details,
  2. remaining available during delivery,
  3. responding to delivery communication.

In the event of failed delivery due to:

  1. incorrect address,
  2. unreachable phone number,
  3. customer unavailability,
  4. refusal to accept delivery,
  5. restricted entry,
  6. or incorrect delivery information,

any additional delivery or redelivery cost incurred by GROPL may be charged to the user.

Groocy shall not be responsible for failed or delayed deliveries caused by circumstances beyond reasonable control.

10. Cancellation, Refunds & Replacements

Users may cancel orders subject to operational processing status and applicable cut-off timelines.

Fresh and perishable products may have stricter cancellation and return conditions compared to grocery or packaged products.

Once fresh products are processed, cleaned, customized, packed, or dispatched, cancellation or return eligibility may become restricted.

Groocy reserves the right to:

  1. verify complaints,
  2. request photo/video evidence,
  3. investigate suspicious claims,
  4. reject fraudulent complaints,
  5. approve or deny refunds/replacements at its discretion.

If users no longer require a product, ordered by mistake, or change their mind, return requests may only be accepted at the time of delivery where applicable.

Certain products may be marked as:

  1. non-returnable,
  2. non-refundable,
  3. replacement-only.

Refunds, where applicable, shall generally be processed through the original payment method or Groocy wallet subject to operational timelines and payment provider processing timelines.

All refunds shall be processed in Indian Rupees only.

11. User Conduct & Prohibited Activities

Users agree not to:

  1. misuse the Platform,
  2. engage in fraudulent activity,
  3. upload harmful or illegal material,
  4. abuse delivery personnel or customer support staff,
  5. interfere with Platform operations,
  6. attempt unauthorized access,
  7. violate applicable laws,
  8. transmit viruses or malicious software,
  9. infringe intellectual property rights,
  10. submit false information,
  11. or disrupt services.

Users shall not:

  1. disseminate unlawful, abusive, defamatory, obscene, threatening, or objectionable material,
  2. interfere with another user’s use of the Platform,
  3. breach applicable laws or regulations,
  4. store or distribute copyrighted material without authorization.

Groocy reserves the right to suspend or terminate accounts involved in suspicious, abusive, fraudulent, or unlawful activities.

12. Reviews, Ratings & User Content

Users may submit:

  1. reviews,
  2. ratings,
  3. comments,
  4. feedback,
  5. photos,
  6. videos,
  7. testimonials,
  8. or other content.

By submitting content, users grant Groocy a non-exclusive, royalty-free right to:

  1. use,
  2. reproduce,
  3. publish,
  4. modify,
  5. display,
  6. distribute,
  7. and promote

such content for operational, promotional, or business purposes.

Users agree not to submit:

  1. false information,
  2. spam,
  3. unlawful material,
  4. abusive content,
  5. misleading reviews,
  6. or content infringing third-party rights.

Groocy reserves the right to monitor, moderate, edit, reject, or remove content at its discretion without prior notice.

Users remain solely responsible for the content submitted by them.

13. Intellectual Property Rights

All Platform content including:

  1. logos,
  2. trademarks,
  3. text,
  4. graphics,
  5. images,
  6. videos,
  7. software,
  8. brand assets,
  9. designs,
  10. and content

are owned by or licensed to Groocy and protected under applicable intellectual property laws.

No user may reproduce, distribute, modify, copy, or commercially exploit any content without prior written consent from GROPL.

Access to the Platform does not grant users any ownership or intellectual property rights over Platform content or trademarks.

14. Third-Party Services

The Platform may contain links or integrations with third-party services including:

  1. payment gateways,
  2. analytics tools,
  3. maps,
  4. communication services,
  5. external websites,
  6. and social media platforms.

Groocy shall not be responsible for the availability, content, privacy practices, or operations of third-party services.

Users accessing third-party services do so at their own risk.

15. Limitation of Liability

Groocy provides services on an “as available” and “as is” basis.

To the maximum extent permitted under applicable laws, Groocy shall not be liable for:

  1. indirect losses,
  2. business interruption,
  3. loss of profits,
  4. data loss,
  5. delivery delays,
  6. technical failures,
  7. third-party failures,
  8. service interruptions,
  9. product misuse,
  10. or events beyond reasonable control.

Users acknowledge that fresh food products are naturally subject to variations and perishability.

16. Indemnity

Users agree to defend, indemnify, and hold harmless GROPL, its employees, directors, officers, affiliates, partners, agents, and service providers against any claims, liabilities, losses, damages, costs, or expenses arising from:

  1. misuse of the Platform,
  2. violation of these Terms,
  3. unlawful conduct,
  4. infringement of third-party rights,
  5. fraudulent activities,
  6. breach of applicable laws,
  7. or submission of unlawful or harmful content.

This clause shall survive termination of these Terms.

17. Suspension & Termination

Groocy reserves the right to:

  1. suspend accounts,
  2. restrict access,
  3. refuse services,
  4. cancel orders,
  5. terminate user accounts

without prior notice in cases involving:

  1. fraud,
  2. suspicious activity,
  3. abuse,
  4. policy violations,
  5. operational risks,
  6. or unlawful conduct.

Termination shall not affect obligations or liabilities already incurred.

18. Force Majeure

Groocy shall not be liable for delays or service failures caused by events beyond reasonable control including:

  1. floods,
  2. natural disasters,
  3. severe weather,
  4. internet failures,
  5. transportation disruptions,
  6. strikes,
  7. pandemics,
  8. government restrictions,
  9. technical outages,
  10. or supply chain disruptions.

19. Modification of Terms

Groocy reserves the right to modify or update these Terms at any time without prior notice.

Updated versions will be published on the Platform with revised dates.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

20. Governing Law, Jurisdiction & Arbitration

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising from use of the Platform shall be subject to the jurisdiction of competent courts in Odisha, India.

Any dispute, controversy, or claim arising out of or relating to these Terms may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Odisha, India.
